Head, Corporate & Legal Affairs | Strategic Advisor Reporting to CEO | Innovative CRO | Remote | RETAINED SEARCH

Cornerstone Search Group has been retained by a rapidly growing Clinical Research Organization funded by a thriving multi-billion-dollar parent Health Care Company. The Head of Corporate & Legal Affairs will report directly to the CEO, with whom Cornerstone has had over a decade-long relationship and is a well-respected, collaborative leader with a rich history of working for start-ups and well-established CROs.

The Head of Corporate & Legal Affairs will provide expert organizational/corporate leadership guidance, seamlessly integrating legal compliance, risk management, and strategic decision-making as the business scales. Our client seeks an individual with a legal background, a business mindset, and a deep understanding of the life sciences, finance, and operations. They will be a trusted strategic partner collaborating closely with the CEO and must possess a true “roll up your sleeves” attitude, as this is a highly visible role in a start-up environment.

Responsibilities

In summary, the Head of Corporate and Legal Affairs will have primary responsibility of serving as the lead corporate and legal advisor within the organization. They will adopt a holistic approach to formulating strategic business decisions while providing critical organizational leadership as a trusted advisor to the CEO.

  • Provide leadership across legal, finance, and corporate functions, fostering cross-collaboration to promote integrated organizational structures.
  • Support daily and strategic operations, developing strategies to mitigate legal risks and ensure compliance with laws.
  • Manage the contract and negotiation processes, ensuring compliance with legal and regulatory requirements.
  • Serve as an advisor on ethical standards and best corporate governance practices.
  • Streamline legal processes to ensure cost-effectiveness within the legal and finance functions.
  • Draft and oversee a comprehensive crisis management strategy.
  • Ensure the safeguarding of intellectual property to include trademarks, patents, and copyrights.
  • Act as a strategic advisor to the CEO and leadership team, participating in the development of departmental procedures and coordinating legal contractual matters when necessary.

Qualifications:

  • Juris Doctor (JD) degree from an accredited institution and active Bar Association membership, qualified to practice law in a global organization.
  • 10+ years of corporate legal experience in a rapidly evolving environment.
  • Previous in-house experience in the CRO or pharmaceutical industry, with a preference for familiarity with the drug discovery and development process.
  • Demonstrated proficiency in drafting various contracts and adept negotiation skills for complex deals with customers and vendors.
  • Track record of strategic planning, budget management, and reporting.
  • Strong work ethic and dedication to professional excellence.
  • Bi-lingual (Spanish and English) preferred.
