Description
Our client is a stable and growing international pharmaceutical company that is looking for a General Counsel to help lead them during continued growth here in the US across a generics/specialty portfolio as well as an innovative R&D pipeline. You will have both executive leadership and hands-on responsibility across Business Development, Commercial, R&D/Operations, Corporate, and Strategy.
Our client is looking for a dynamic legal executive that thrives in a smaller company environment that is ready to grow – someone that has strong emotional intelligence and executive presence that also likes to be collaborative, drive strategy, and get your hands dirty. Given the international nature of the company, it is also essential that the person thrive in a culturally diverse environment.
Location
Central New Jersey Area (our client requires 1 to 2 days/week in the office)

Responsibilities
- Directs and coordinates all legal and regulatory activities across the company.
- Hands-on legal support and leadership across Business Development (licensing, investment, divestment, supply, quality, etc.).
- Conducts, manages, and oversees all legal due diligence with third parties, including, but not limited to, contract, antitrust, IP, regulatory/legal, and compliance.
- Reviews and revises sales agreements with direct and indirect customers such as wholesalers, retailers, GPOs, etc.
- Drafts, reviews and negotiates agreements with other vendors, such as 3PL, freight forwarder, consultants, etc.
- Assesses IP landscape and provides opinions and advice on company product/project IP positions and strategies.
- Provides timely legal guidance related to day-to-day policy and legal questions raised by the business.
- Manages and liaises with outside counsel on litigation and other legal matters.
- Partners with CHRO on employee related legal matters.
- Partners with Regulatory Affairs on FDA-related legal matters.
- Serves as the Corporate Secretary assisting the Board with administration and governance requirements.
- Develops and provides training on legal and policy matters.
- Develops and executes legal strategies that support business growth and risk mitigation in line with broader corporate initiatives, including corporate reorganization, acquisitions, product strategy, and financing.
- Serves as a key advisor to the CEO, executive team, and board of directors on legal matters impacting the business.
- Manages litigation and regulatory matters across the enterprise.
- Oversees outside counsel and vendor relationships to ensure cost effective legal services.
Qualifications / Requirements
- 10+ years of hands-on legal leadership experience within the generics, pharmaceutical, and/or biotechnology industry ideally with tenure at an international company(s).
- Experience within generics is required.
